1. Scope
These Terms and Conditions apply to all contracts between Change IT Now GmbH and its clients regarding IT consulting and IT services.
2. Subject of the Contract
Change IT Now GmbH provides consulting, project, and IT services as defined in the individual agreement.
3. Offers & Contract Conclusion
Offers are non-binding. A contract is formed through written confirmation or commencement of service.
4. Services
Service scope, timelines, and fees are defined in the respective agreement. Any changes require written confirmation.
5. Client Obligations
The client must provide all necessary information, access rights, and resources.
6. Fees
Fees are based on agreed hourly rates, daily rates, or fixed prices. All prices are exclusive of applicable VAT.
7. Liability
Liability is limited to intent and gross negligence. For slight negligence, liability applies only in case of breach of essential obligations.
8. Confidentiality
Both parties agree to keep all project-related information confidential.
9. Intellectual Property
Documents, concepts, or software created by Change IT Now GmbH remain its property unless otherwise agreed.
10. Final Provisions
German law applies. The place of jurisdiction, where legally permissible, is Wiesbaden.
